Terms of Service
Glazing Takeoff Portal · LTS Forge LLC · Version 2026-10-23
These Terms of Service ("Terms") are an agreement between LTS Forge LLC ("LTS Forge", "we", "us") and the company that holds an account on the Glazing Takeoff Portal ("Customer", "you"). They cover the portal at takeoff.ltsforge.com and every takeoff, file and service provided through it (the "Service"). By accepting these Terms, the person accepting confirms that they are authorized to bind the Customer, and the Customer agrees to them for every person who uses its account.
1. The Service
1.1 LTS Forge prepares quantity takeoffs for aluminum, glass and glazing scope from drawings and project manuals the Customer uploads. Takeoffs are prepared with artificial intelligence and checked by an LTS estimator before they are released to the Customer.
1.2 A takeoff is an estimating aid only. It is not a shop drawing, an engineered or sealed design, a scope determination, a bid, or professional engineering advice, and it is not a drafting service.
1.3 Turnaround times shown in the portal are targets, not guarantees. LTS Forge is not responsible for any loss caused by a delay.
2. Accounts and logins
2.1 Each person gets their own username and password. The Customer is responsible for every action taken under its account, for keeping passwords confidential, and for turning off logins of people who should no longer have access. The Customer must tell LTS Forge promptly of any unauthorized use.
2.2 LTS Forge may suspend any login that it reasonably believes is being misused.
3. Your documents
3.1 The Customer keeps ownership of the drawings, specifications and other documents it uploads ("Customer Materials") and confirms it has the right to share them with LTS Forge for the purpose of preparing takeoffs.
3.2 The Customer grants LTS Forge permission to store, copy and process Customer Materials, including through its hosting and artificial intelligence service providers, only to provide the Service. LTS Forge keeps Customer Materials confidential and does not use them to train artificial intelligence models.
4. Plans, fees and payment
4.1 The Customer pays the monthly fee for its plan, which includes a set number of takeoffs each calendar month. Unused takeoffs do not carry over. Each takeoff beyond the included number is billed at the plan's price for each extra takeoff, which the portal shows and the Customer confirms before that takeoff is submitted.
4.2 Advance payment for the first month. Before the Customer's first takeoff can be submitted, the Customer pays an advance payment equal to 50% of the first month's plan fee. The advance payment is applied to the first month's invoice. It applies to the first month of service only.
4.3 If the Customer cancels during the first month, the first month's plan fee is prorated by day up to the date LTS Forge receives the written cancellation. LTS Forge refunds any part of the advance payment above the prorated fee, and the Customer pays any amount of the prorated fee above the advance payment. Extra takeoffs are charged in full.
4.4 Invoices are due on the due date shown on the invoice. The Customer must pay every invoice in full and on time. Fees do not include sales or use taxes, which the Customer pays where they apply.
4.5 Amounts not paid by the due date bear a late charge of 1.5% per month (or the highest rate allowed by law, if lower) from the due date until paid. The Customer also pays LTS Forge's reasonable costs of collecting overdue amounts, including attorney fees.
4.6 Any dispute about an invoice must be sent to LTS Forge in writing within 15 days of the invoice date; otherwise the invoice is accepted as correct. Undisputed amounts remain due on time.
4.7 LTS Forge may change plan prices with 30 days' notice through the portal or by email. Fees already paid are not refundable except where these Terms say otherwise.
5. Late payment, suspension and removal of work
5.1 If any amount is past due, LTS Forge has the right, without further notice, to:
- suspend access to the portal for every person on the Customer's account;
- stop all work, including takeoffs already submitted or in progress;
- withhold delivery of all takeoffs and files, finished or not, until every amount past due, including late charges, is paid in full.
5.2 As a courtesy the portal shows a reminder when an invoice is 7 days past due and suspends the account at 15 days past due. Not receiving a reminder does not change the Customer's obligation to pay or LTS Forge's rights under this section.
5.3 If any amount remains unpaid 60 days after its due date, LTS Forge may permanently delete the Customer Materials and all takeoffs and files not yet delivered, and may end this agreement. Deleted work cannot be recovered. Deletion does not reduce what the Customer owes.
5.4 When the account is paid in full, access is restored and held takeoffs resume. Turnaround times restart from that date.
6. Your responsibility for checking the work
6.1 The Customer is solely responsible for checking every takeoff against the current contract documents, addenda and site conditions before bidding, pricing, ordering material, fabricating or installing. A takeoff covers only the documents uploaded with it.
6.2 The Customer is solely responsible for its bids, prices, scope decisions, contracts and work, whether or not it used a takeoff to prepare them.
7. No warranties
THE SERVICE AND EVERY TAKEOFF ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, LTS FORGE MAKES NO WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT, AND DOES NOT WARRANT THAT ANY TAKEOFF IS FREE OF ERRORS OR OMISSIONS OR THAT THE PORTAL WILL BE UNINTERRUPTED.
8. Limitation of liability
8.1 TO THE FULLEST EXTENT ALLOWED BY LAW, LTS FORGE ASSUMES NO LIABILITY FOR, AND WILL NOT BE LIABLE FOR, ANY LOSS ARISING FROM THE SERVICE OR ANY TAKEOFF, INCLUDING ERRORS OR OMISSIONS IN QUANTITIES, SIZES OR SCOPE; LOST, MISPRICED OR UNSUCCESSFUL BIDS; LOST PROFITS OR REVENUE; MATERIAL, FABRICATION, LABOR, REWORK OR DELAY COSTS; BACKCHARGES; OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, EVEN IF ADVISED THAT THEY WERE POSSIBLE.
8.2 IF, DESPITE SECTION 8.1, LTS FORGE IS FOUND LIABLE FOR ANYTHING, ITS TOTAL LIABILITY FOR ALL CLAIMS OF EVERY KIND IS LIMITED TO THE FEE THE CUSTOMER PAID FOR THE TAKEOFF THAT GAVE RISE TO THE CLAIM.
8.3 These limits apply to every type of claim, whether in contract, warranty, negligence, strict liability or otherwise, and are an essential part of the price of the Service.
9. Indemnity
The Customer will defend, indemnify and hold harmless LTS Forge and its members, managers, employees and contractors from any claim, loss, cost or expense, including reasonable attorney fees, arising from the Customer's use of the Service or of any takeoff, its bids, projects or work, the Customer Materials, or the Customer's breach of these Terms.
10. Ownership of the tools and the results
10.1 LTS Forge owns the portal, its software, methods, templates and tools. Nothing in these Terms transfers them to the Customer.
10.2 Once the related fees are paid in full, the Customer may use the takeoffs delivered to it for its own estimating and project work. The Customer may not resell takeoffs, offer them as a takeoff service to others, or use the Service to build a competing service.
11. Confidentiality
Each party keeps the other's confidential business information confidential and uses it only for this agreement, except where disclosure is required by law.
12. Term and ending the agreement
12.1 This agreement continues from month to month. Either party may end it with 30 days' written notice, except that during the first month the Customer may cancel at any time by written notice, and section 4.3 applies. LTS Forge may also end it at once if the Customer breaches these Terms, including under section 5.
12.2 When the agreement ends, all fees owed become due at once and access to the portal stops. LTS Forge may delete the Customer Materials and takeoffs 30 days after the agreement ends. Sections 4 to 11, 13 and 14 continue after the agreement ends.
13. Changes to these Terms
LTS Forge may update these Terms. The updated version is shown in the portal, and the next time anyone at the Customer signs in, they are asked to accept it before the portal can be used again. Continuing to use the Service after accepting means the updated Terms apply.
14. Law, disputes and general terms
14.1 These Terms are governed by the laws of the State of Colorado, without regard to its rules on conflicts of law. Any dispute will be decided only in the state or federal courts located in Colorado, and both parties consent to those courts. The party that wins a dispute may recover its reasonable attorney fees and costs.
14.2 These Terms, together with any written quote or order signed by both parties, are the entire agreement about the Service and replace any earlier discussions. If any part of these Terms cannot be enforced, the rest still applies, and the unenforceable part is enforced as far as the law allows. A failure to enforce a right is not a waiver of it. The Customer may not transfer this agreement without LTS Forge's written consent.
14.3 Accepting these Terms in the portal is an electronic signature and has the same effect as a signed paper agreement. LTS Forge records who accepted, when, from what address, and the version accepted. Notices may be given by email to the address on the Customer's account or through the portal.
